These Terms operate in conjunction with, and do not replace, the Kronos System License & Strategy Access Agreement (“Agreement”) executed at onboarding. In the event of any conflict, the signed Agreement shall govern.
1. No Financial Guarantees
- Trading financial markets involves substantial risk and is not suitable for all individuals.
- Past performance is not indicative of future results.
- No representation or guarantee is made regarding profitability, returns, or avoidance of losses.
- All performance targets are aspirational benchmarks, not guarantees.
- You are solely responsible for all trading decisions and outcomes.
2. Software License – Provided As-Is
- All software and systems are provided “as-is” and “as available”.
- No guarantee of uninterrupted service or error-free operation.
- Performance may vary due to market conditions, liquidity, latency, or configuration.
- Kronos is not a broker, custodian, or investment advisor.
3. Refund Policy & Capital-Based Eligibility
3.1 General Policy
- All purchases are final by default.
- Refunds exist only under the conditional 90-day policy in the signed Agreement.
- Refunds are not automatic, discretionary, or guaranteed.
3.2 Capital Tiers & Refund Eligibility

Capital must remain adequate and uninterrupted throughout the 90-day evaluation window.
3.3 Performance Evaluation Rules
- Only realized PnL (closed trades) is considered.
- Unrealized PnL and open positions are excluded.
- System interference or withdrawals may void eligibility.
- Refunds are calculated as: Refund % × License Fee – Realized Profits
4. Chargebacks & Disputes
- You agree not to initiate chargebacks or payment disputes.
- Services are digitally delivered and irrevocable once access is granted.
- Chargebacks constitute a material breach of contract.
5. Risk Disclosure & Drawdowns
- Trading systems may experience drawdowns or stagnation.
- Market regimes change; performance is non-linear.
- Systems are designed for long-term deployment.
- Short-term evaluation may lead to distorted conclusions.
6. Limitation of Liability
To the maximum extent permitted by law, Kronos Trading, IndicatorX LLC, and all affiliates shall not be liable for any damages arising from use or inability to use the software, including loss of capital or profits.
7. Acceptance of Terms
- You have read and understood these Terms.
- You have accepted the signed Agreement.
- You voluntarily assume all risks of algorithmic trading.
